Corporate governance, company law and shareholder issues
The Firm regularly advises listed or unlisted companies on company law providing general and/or specific assistance or written opinions (corporate governance, shareholder agreements, general meeting resolutions, related party agreements).
The Firm also regularly advises its clients on the implementation of corporate governance rules, as set out in the AFEP-MEDEF code.
Its experience in the field of corporate governance extends to the following areas:
- proxy fight and adviser to the board of directors of Valeo with regard to its defence strategy against the Pardus fund
- advising companies in corporate governance matters
- advising companies with respect to proxy fights and organisation of general meetings in a defensive context
- regulatory monitoring of corporate governance matters and on the tax and corporate status of company executives and management
